These Terms of Use ("Terms") govern your participation in the Openlogic Club partner program operated by Openlogic Business Solutions Pvt. Ltd. ("Openlogic", "we", "us"). By registering as a partner, you agree to be bound by these Terms.

1. Eligibility

To register as a partner you must:

Be at least 18 years of age.
Be a resident of India and possess a valid PAN card.
Provide accurate KYC documents (Aadhaar, PAN, bank proof).
Not be an existing employee, director, or contractor of Openlogic Business Solutions Pvt. Ltd.

2. Partner Registration & Approval

Submitting a registration form does not guarantee approval. Openlogic reserves the right to approve, reject, or suspend any partner account at its sole discretion. Approved partners receive a unique referral code via their dashboard.

3. Lead Submission

Partners may submit leads for businesses that have expressed genuine interest in purchasing BharatERP software.
Submitting fabricated, duplicate, or previously known (by Openlogic) leads will result in commission rejection and possible account suspension.
Partners must not make false representations about BharatERP's features, pricing, or capabilities to prospects.
Lead ownership is determined by the first valid submission. If the same lead is submitted by multiple partners, the commission is awarded to the first submitter.
A lead expires if no action is taken within the number of days configured by the administrator.

4. Commission Structure

Commissions are calculated as a percentage of the invoice value of the BharatERP subscription sold to the referred business. Tier is determined by annual confirmed conversions:

Tier	Annual conversions	Commission rate
Associate	0–5	5% of invoice value
Silver	6–15	10% of invoice value
Gold	16+	15% of invoice value

Additionally, if you refer another partner ("L2"), you earn an override commission of 1–3% on each confirmed sale made by that L2 partner, depending on your tier at the time of the conversion.

Note: Commission rates and tier thresholds are subject to change. Partners will be notified of material changes via the platform dashboard.

5. Commission Approval & Payout

Commissions are calculated upon lead conversion and may require manual approval by Openlogic.
Payouts are processed via UPI, NEFT, or IMPS to your verified bank account after commission approval.
The minimum payout threshold is ₹500 (or as updated in platform settings).
Openlogic reserves the right to reverse a commission if the deal is cancelled, refunded, or if fraud is detected.

6. TDS Deduction

Commissions are subject to Tax Deducted at Source (TDS) under Section 194H of the Income Tax Act, 1961, if your cumulative annual commission exceeds the applicable threshold. Openlogic will deduct TDS at the applicable rate and issue Form 16A. It is your responsibility to ensure your PAN is correctly registered in your profile.

7. Referral Bonuses

When the joining bonus feature is enabled, new partners may earn a one-time joining bonus and their referring partner may earn a referral bonus, both contingent on the first lead conversion by the new partner. These bonuses are subject to the same TDS and payout rules as regular commissions.

8. Prohibited Conduct

Partners must not:

Submit leads for businesses that have already been contacted by Openlogic's sales team.
Misrepresent BharatERP or make promises about features, pricing, or support not authorised by Openlogic.
Offer discounts, refunds, or incentives to prospects on Openlogic's behalf.
Share their account credentials with any other person.
Attempt to reverse-engineer, scrape, or manipulate the platform.
Engage in spam or unsolicited bulk messaging using Openlogic branding.

Violation of any of the above may result in immediate account suspension, forfeiture of pending commissions, and legal action where applicable.

9. Intellectual Property

The Openlogic Club name, logo, and all platform content are the property of Openlogic Business Solutions Pvt. Ltd. Partners may use approved marketing materials provided through the platform. No other use of Openlogic or BharatERP branding is permitted without written consent.

10. Account Suspension & Termination

Openlogic may suspend or terminate a partner account at any time for violation of these Terms, fraudulent activity, inactivity, or at its sole discretion. Upon termination, any approved commissions that are due will be processed within the normal payout cycle. Pending commissions under review may be forfeited if termination is due to fraud or policy violation.

11. Limitation of Liability

Openlogic's total liability to any partner arising from or relating to this program shall not exceed the commissions earned by that partner in the three months preceding the claim. Openlogic is not liable for lost profits, indirect damages, or consequential losses.

12. Governing Law

These Terms are governed by the laws of India. Any disputes arising out of or in connection with this program shall be subject to the exclusive jurisdiction of the courts at Guwahati, Assam.

13. Changes to Terms

We may revise these Terms at any time. The updated Terms will be posted on this page. Continued use of the partner portal after the revision date constitutes acceptance of the updated Terms.
